General terms and conditions

1. Definitions

  • “Provider” refers to Zenith-Spot.
  • “Client” refers to the individual or organization taking the service.
  • “Services” refers to the meeting/ training room rentals, virtual office, local representation and printing services offered by the Provider. 
  • “Premises” refers to Zenith-Spot’s location. 

2. Scope of Services and Equipment

  • The Provider will supply services, equipment and ameneties as outlined in the client’s subsription package or invoice.
  • The Client must ensure that the services are used exclusively for lawful business purposes
  • Services are non-transferable and solely for the Client’s use.
  • Any malfunctioning equipment must be reported immediately. The Provider will attempt to resolve the issue but does not guarantee replacement.

3. Booking & Terms of Payments

  • Room rental bookings are subject to availability and must be confirmed in writing by the Provider.
  • A non-refundable down payment equivalent to one hour’s rental fee is required to confirm the reservation. The remaining balance must be paid prior to the room’s use.
  • If the down payment is not made, the Provider reserves the right to allocate the room to another party.
  • *Fees for virtual office and local representation services are payable in advance and are non-refundable unless otherwise specified.
  • Payments can be made via bank transfer, cash, or card at the Premises.

4. Terms of Termination & Cancelation

  • Clients may cancel room bookings at any time up until three (3) days before the scheduled event. Rescheduling to another available date is permitted.
  • A penalty fee equal to the down payment will be charged in case of no-shows, cancellations without prior notice, or late cancellations. 
  • The Provider reserves the right to cancel bookings due to unforeseen circumstances, offering either a full refund or alternative dates.
  • *Virtual office and local representation services are provided on a monthly or annual subscription basis. Either party may terminate the agreement with 30 days’ written notice.

5. Use of premises, adress and Representation

  • The Client must ensure the room is used for its intended purpose.
  • (indoor)Smoking, illegal activities, and hazardous materials are strictly prohibited on the Premises.
  • Maximum occupancy limits for rooms must not be exceeded. 
  • Additional hours used will be charged at the end of the rental period.
  • The client is not permitted to use any other rooms or areas aside from the one(s) booked. 
  • The Client is granted a total of 30 minutes for setup and breakdown— 15 minutes prior to the booked hour and 15 minutes after the booked time. Usage exceeding this allotted time will incur additional hourly charges.
  • The rooms are solely intended for business meetings, small gatherings, or similar professional purposes. Rooms are not intended for large parties or similar events, including those involving excessive food, drinks, and loud music.
  • All rooms are equipped with two ports of 110V electricity, except for the Kinikini Room, which is equipped with one port of 220V electricity.
  • *Clients may use the Provider’s address as their business address during the term of the agreement, subject to lawful use.
  • *The Provider reserves the right to review and refuse the use of the address for specific purposes at its discretion.
  • Front office support is unavailable for weekend rentals.
  • The Provider may terminate the agreement or booking without refund if these terms are breached.

6. Mail handling & Communication Services

  • The Provider will handle incoming mail for the Client as per the agreed service package. Mail must be collected in person or request forwarding at an additional cost. Unclaimed mail will be retained for one month before disposal.
  • Call answering services will be provided as per the Client’s subscription package. The Provider is not responsible for missed calls or messages due to technical issues beyond its control.

7. Damages & Liability

  • The Client is responsible for any damages to the room or equipment caused during the rental period.
  • If the Client uses the glasses provided by the Provider, the Client assumes responsibility for washing them after use. Any broken glasses will incur an additional fee of XCG 3,- per glass.
  • The Provider is not liable for any loss, theft, or damage to personal belongings or for injuries sustained on the Premises unless caused by the Provider’s negligence.
  • The Provider is not liable for any loss, damage, or legal consequences arising from the use of its Services.

8. *Compliance with the Laws

  • The Client is responsible for complying with all applicable laws and regulations related to their business operations. Non-compliance may result in termination of the agreement.

9. Confidentiality and Privacy

  • The Provider will maintain the confidentiality of the Client’s information unless disclosure is required by law.
  • The Client is responsible for safeguarding their communication and sensitive data.

10. Catering & Third-Party Services

  • Catering services must be requested at least  48 hours before the event date.
  • All catering services are facilitated through third-party providers. The Provider is not responsible for delays or issues caused by these third-party service providers.
  • Payment must be cancelled in full one day before booked/ event date.
  • The Client is permitted to bring their own snacks and additional beverages if desired.

11. Final provision

  • These terms and conditions are governed by the laws of Curaçao.
  • By making a booking, down payment, or subscribing to a package, the Client agrees to these terms and conditions.
  • The Provider reserves the right to amend these terms by providing 30 days’ written notice to the Client.
